End User License Agreement (EULA)

Effective date: 12 February 2026

This End User License Agreement ("Agreement") is a legal agreement between you ("you", "Customer", or "User") and 7 Degrees Media ("Company", "we", "us", or "our") for the use of the Parallel North CRM & Business System (the "Service"). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. Acceptance

By accessing or using the Service, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, do not use the Service.

2. License and Access

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

3. Accounts and Security

You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. You must notify us promptly of any unauthorized use or security breach.

4. Customer Data

"Customer Data" means data you or your users submit to the Service, including personal data of your clients or contacts.

  • You retain all rights to Customer Data.
  • You grant us the right to process Customer Data solely to provide, maintain, and improve the Service and as otherwise permitted by this Agreement.
  • You are responsible for the legality of Customer Data and for providing required notices and consents to your clients.

5. Acceptable Use

You will not:

  • Use the Service to violate any law or regulation.
  • Upload malicious code or attempt to gain unauthorized access.
  • Interfere with or disrupt the Service.
  • Use the Service to send unlawful, deceptive, or unsolicited communications.

6. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Google, Stripe, QuickBooks, Meta, Campaign Monitor). Your use of those services is governed by their terms and policies. We are not responsible for third-party services.

7. Fees, Payment, and Taxes

Fees, billing intervals, and payment terms are as agreed in your order form or subscription plan. You are responsible for applicable taxes.

8. Intellectual Property

We and our licensors own all rights, title, and interest in the Service, including software, content, and trademarks, except for Customer Data.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect such information using reasonable care and use it only to perform obligations under this Agreement.

10. Term and Termination

This Agreement remains in effect while you use the Service. We may suspend or terminate access if you breach this Agreement. Upon termination, your right to use the Service ends.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnity

You will indemnify and hold us harmless from any claims arising out of your Customer Data, your use of the Service in violation of this Agreement, or your violation of law.

14. Changes

We may update this Agreement from time to time. If we make material changes, we will provide notice by updating the effective date or by other reasonable means. Your continued use after changes become effective constitutes acceptance.

15. Governing Law

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction.
